1. Acceptance of Terms

By accessing or using Express Chart Note (the "Service"), operated by Code Frenetics ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, do not access or use the Service.

These Terms apply to all visitors, registered users, and healthcare professionals who access or use the Service in any manner.

2. Eligibility

You must be at least 18 years of age and a licensed or authorised healthcare professional, administrator, or staff member at an accredited medical institution to register for and use the Service. By creating an account, you represent and warrant that you meet these requirements.

Accounts registered on behalf of a clinic or organisation must be authorised by that organisation's duly appointed representative.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Update your information promptly if it changes.
  • Notify us immediately of any unauthorised use of your account.
  • Not share your login credentials with any person who is not authorised under your subscription plan.

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe pose a risk to the security or integrity of the Service.

4. Use of the Service

Express Chart Note is a clinical documentation tool designed to assist healthcare professionals in creating, organising, and printing patient chart notes. You agree to use the Service solely for lawful purposes and in accordance with these Terms.

You agree not to:

  • Use the Service to store, transmit, or process any data in violation of applicable law, including without limitation HIPAA.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Upload or transmit viruses, malware, or other malicious code.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Resell, sublicense, or commercialise access to the Service without our express written consent.

5. Protected Health Information (PHI)

Express Chart Note is designed with HIPAA-readiness in mind. If you are a Covered Entity or Business Associate as defined under HIPAA, you must execute a Business Associate Agreement (BAA) with us before processing any Protected Health Information ("PHI") through the Service.

You are solely responsible for ensuring that your use of the Service complies with all applicable privacy and data protection laws in your jurisdiction, including but not limited to HIPAA, HITECH, and any applicable state health privacy statutes.

We do not sell, share, or disclose PHI to third parties except as permitted by our Privacy Policy and any applicable BAA.

6. Subscriptions & Payments

Access to certain features of the Service requires a paid subscription. Subscription fees are charged in advance on a monthly or annual basis depending on the plan selected. All fees are non-refundable except as expressly stated herein or required by applicable law.

We reserve the right to change subscription fees upon 30 days' written notice. Your continued use of the Service after the fee change takes effect constitutes your agreement to pay the modified fees.

If a payment fails, we may suspend your account until payment is resolved. Accounts suspended for non-payment for more than 60 days may be terminated and associated data deleted.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Code Frenetics and its licensors. Nothing in these Terms grants you any right, title, or interest in the Service or any associated intellectual property.

You retain all rights to the patient data and clinical notes you create using the Service. By using the Service, you grant us a limited, non-exclusive licence to process your data solely to provide and improve the Service in accordance with our Privacy Policy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Express Chart Note is a documentation aid and does not constitute medical advice. Clinical decisions remain the sole responsibility of the licensed healthcare professional.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CODE FRENETICS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

10. Termination

We may terminate or suspend your account at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the integrity of the Service.

You may cancel your account at any time by contacting us at support@expresscharnote.com. Upon termination, your right to use the Service will immediately cease. Sections 7, 8, 9, 11, and 12 shall survive termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the federal and state courts located in Delaware for the resolution of any disputes.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date below. Your continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms.
